About flying minutes
Flying minutes helps prepare signature-ready board records. Tiro Pro reads the documents, drafts every matter they call for, and you review and edit the drafting before generating the record using your team's board-record template.
Flying minutes are resolutions passed without a meeting
Flying minutes are circulating board resolutions — decisions the directors make without holding a physical meeting, recorded in a document they all sign. That document is the board record: the resolutions, set out in the format directors sign.
Each item of business needing a resolution is a matter. One board record can cover several matters, so a single session can carry everything the directors are being asked to approve.
What Tiro Pro drafts
You choose the source documents — the contracts, deeds, and agreements that need board approval. Upload them to Tiro Pro before you start a session. Tiro Pro reads them and drafts, for each matter:
- the narrative — what the board is being told, in the form "It is noted that…";
- the key details of the matter;
- the resolutions — what the board decides, in the form "It is resolved that…"; and
- a key-terms annexure, where you ask for one — a summary of the key terms, appended to the board record.
That drafting is laid into the board-record template you chose when you started the session, so what comes out is already in your team's format.
Check the review and make any desired changes before you generate the minutes.
The work happens in a session
A session holds one board record from beginning to end, and moves through three stages:
- Set-up — name the session, choose the template, and select the source documents.
- Review — draft the matters, then read and edit them beside a live preview of the document.
- Generation — submit the completed answers and produce the finished Word document.
Your answers are kept as you go, so you can leave a session part-finished and pick it up later. The session's row tells you which stage it has reached and what to do next.
